The Speaker Group applies its expertise to the often complex
issues surrounding Executive Compensation. We support Board
Compensation Committees in their decision making process by
analyzing the business needs of the organization and aligning
them with compensation plans. We foster good corporate governance
recognizing the role that Executive Compensation plays and
commit to the Board to uphold the requirement for independence
under Sarbanes-Oxley and similar mandates.
In view of the emphasis that has been placed on Executive
Compensation and increased fiduciary responsibilities, Board
Compensation Committees must assure that executive compensation
plans are appropriately constructed to align executives’
and shareholders’ interests to optimize company performance.
All too often, the correct level of expertise is not applied
by Compensation Committee members and they are put in a
position of accepting management’s recommendations
without proper analyses. This may be due to a lack of technical
knowledge of executive compensation or time and other resource
constraints.
The need for additional, independent expertise must be
met by outside experts who have no ties to management, the
company’s outside auditors or consultants.
